CRIDO, together with the team of CRIDO Law Firm, advised RENOMIA a.s. on the acquisition of 100% of the shares in International Risk & Corporate Advisory (IRCA) sp. z o.o.

RENOMIA is a leading insurance and reinsurance broker in Central and Eastern Europe. It is a family-owned company with Czech capital, whose minority shareholder is Arthur J. Gallagher & Co., listed on the NYSE, one of the global leaders in insurance and risk management (the third-largest broker in the world). Through its brokerage companies, RENOMIA operates in 13 countries across Central and Eastern Europe. Thanks to its cooperation with Arthur J. Gallagher & Co., it provides clients with access to global insurance markets and comprehensive solutions tailored to their individual needs.

IRCA is a Warsaw-based brokerage firm founded twenty years ago by Jerzy Lisiecki. The company specializes in a wide range of insurance products, in particular Directors’ and Officers’ liability insurance (D&O), cyber insurance, and group life insurance.

The new acquisition confirms RENOMIA’s long-term strategy focused on building a strong brokerage position in Poland—the largest insurance market in the region. IRCA joins RENOMIA’s group of companies in Poland, including Alfa Brokers, RENOMIA sp. z o.o., and Kancelaria Brokerska MODUS.

For IRCA, the transaction means a partnership with a major Central European player managing insurance premiums exceeding EUR 1 billion. This will provide clients with access to top-tier experts, a global broker network, relationships with leading insurers and reinsurers, and advanced technological tools.

CRIDO consistently supports RENOMIA in executing its growth strategy through acquisitions on the Polish market. Artur Marszałkiewicz, Managing Partner at CRIDO Corporate Finance, comments on the transaction:
“We are pleased to support RENOMIA in completing further acquisitions in Poland. The Group’s dynamic growth pace confirms both the attractiveness of the Polish market and the effectiveness of our Client’s consistently implemented growth strategy. It is an honour for us to be RENOMIA’s partner in achieving its long-term development goals. We look forward to further joint projects and to deepening our experience in the brokerage market.”

CRIDO’s scope of support included comprehensive one-stop-shop advisory throughout the entire transaction process, as well as financial, tax, and legal due diligence.

On the CRIDO side, the project involved: Artur Marszałkiewicz, Managing Partner, together with Aleksandra Małolepsza, Director, and Monika Olak, Manager—responsible for advisory services and coordination of the transaction process. Mateusz Stańczyk, Partner; Barbara Adamczak, Senior Manager; and Marta Paduszyńska, Senior Consultant—were responsible for tax advisory, while Zbigniew Jusis, Partner, Norbert Pióro, Senior Consultant and Wojciech Pawłowski, Consultant—were responsible for financial due diligence. Legal support for the transaction was provided by the CRIDO Law Firm team consisting of: Renata Patoka, Partner and Michał Tokarz, Senior Associate, Jakub Linke, Associate.

The involvement of CRIDO’s interdisciplinary team confirms the firm’s ability to execute complex acquisition projects in the brokerage and insurance sector, providing clients with full transactional security and effective decision-making support at every stage of the process.

The series of acquisitions carried out by RENOMIA in Poland shows that the brokerage market remains one of the most active M&A segments in the financial services sector in Central and Eastern Europe—and CRIDO is ready to support clients at every stage of this journey.
