Project description: The transaction encompassed the acquisition of three companies, of which one was Polish, one was German and one was Belgian, each operating in the outsourcing services sector and specializing in quality control services for the automotive industry. Crido Legal’s lawyers represented the leader on the quality control market for the automotive industry in the negotiations on the preliminary share (stock) purchase agreements and the final share (stock) purchase agreements with the seller, as well as coordinating the work of the associated law firms from Germany and Belgium on the preparation of the transaction documentation. Crido Legal’s services also included the implementation of the results of the due diligence for the transaction documentation and a verification of the obligation to announce the intention to concentrate as a result of the transaction.
Expert’s view: ‘Representing a Polish company on the quality control market, which belongs to an international group listed on the Warsaw Stock Exchange in an M&A transaction is not just involvement in another company acquisition project by Crido Legal, but also support for a rapidly developing Polish company in its foreign expansion. Polish entrepreneurs are expanding abroad increasingly actively, acquiring foreign entities and we are pleased that we can play an active role in these processes,’ says Jakub Ziółek.
